Welcome to AssetFlare. These Terms of Service ("Terms") govern your access to and use of the AssetFlare website, mobile application, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By registering for an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to all the terms and conditions of this agreement, then you may not access the Service.

You affirm that you are at least 18 years of age and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms, and to abide by and comply with these Terms.

2. Description of Service

AssetFlare provides a unified digital dashboard that allows users to track stocks, cryptocurrencies, and other assets in real-time. The Service aggregates data from various sources to illuminate financial growth and net worth visibility. The Service is strictly a tracking and analytical tool.

We reserve the right to modify, suspend, or discontinue the Service (or any part or content thereof) at any time with or without notice to you. We shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.

3. User Accounts

To access certain features of the Service, you may be required to register for an account. When you register, you agree to provide accurate, current, and complete information about yourself. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• You must immediately notify AssetFlare of any unauthorized use of your account or any other breach of security.
• You may not use as a username the name of another person or entity or that is not lawfully available for use.
• AssetFlare reserves the right to refuse registration of, or cancel a Username in its sole discretion.

4. User Conduct

You agree not to use the Service for any unlawful purpose or in any way that interrupts, damages, impairs, or renders the Service less efficient. You specifically agree not to:

• Use the Service to track assets for illegal money laundering or tax evasion purposes.
• Attempt to reverse engineer, decompile, hack, disable, interfere with, disassemble, modify, copy, translate, or disrupt the features, functionality, integrity, or performance of the Service.
• Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.
• Take any action that imposes an unreasonable or disproportionately large load on our infrastructure.
• Upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service.

5. Intellectual Property

The Service and its original content (excluding User Content provided by you or other users), features, and functionality are and will remain the exclusive property of AssetFlare and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of AssetFlare.

By submitting suggestions or other feedback regarding the Service, you agree that AssetFlare can use and share such feedback for any purpose without compensation to you.

6. User Content

AssetFlare allows you to input data regarding your financial holdings ("User Content"). You retain all rights in, and are solely responsible for, the User Content you post to AssetFlare.

By posting User Content to the Service, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, create derivative works based upon, distribute, publicly display, and publicly perform your User Content in connection with operating and providing the Service.

We claim no ownership rights over the data you input; however, we may use aggregated and anonymized data derived from User Content for statistical analysis, benchmarking, and marketing purposes.

7. Financial Disclaimers

7.1 Data Accuracy

While we strive to provide real-time and accurate data, the information provided on the Service, including stock prices, cryptocurrency values, and asset valuations, is obtained from third-party sources. We do not guarantee the accuracy, completeness, timeliness, or reliability of any such data. You acknowledge that asset prices can be volatile and that the data displayed may be delayed.

7.2 No Advice

Nothing contained in the Service constitutes a solicitation, recommendation, endorsement, or offer by AssetFlare or any third party service provider to buy or sell any securities or other financial instruments. You alone assume the sole responsibility of evaluating the merits and risks associated with the use of any information or other Content on the Service before making any decisions based on such information.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall AssetFlare, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, this Service.

Under no circumstances will AssetFlare be responsible for any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access or use of the Service or your account or the information contained therein.

AssetFlare's total cumulative liability to you for any and all claims arising from or in connection with the Service (under any legal theory, including contract, tort, or otherwise) shall not exceed the amounts you have actually paid to AssetFlare for the Service in the twelve (12) month period immediately preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

9. Indemnification

You agree to defend, indemnify, and hold harmless AssetFlare and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or contact support to request data deletion. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12. Dispute Resolution

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the Service (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party's copyrights, trademarks, trade secrets, patents or other intellectual property rights.

Class Action Waiver: You and AssetFlare agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
